Terms of Service
Effective July 3, 2026
These terms govern your use of this website and, together with a signed agreement, the services ShieldStack provides ("Services"). Every engagement is governed by a signed agreement between ShieldStack and the Client; where these terms and a signed agreement differ, the signed agreement prevails.
1.Services
ShieldStack provides one Solution for Shopify Stores, delivered as a single engagement: an Accessibility Audit against WCAG 2.2 Level AA, Remediation of the barriers found, a formal, dated Accessibility Statement, and a year of Monitoring. The Solution is delivered as one indivisible chain, owned and executed by ShieldStack inside the Client's theme. Scope and deliverables are set out in the signed agreement and on the invoice.
2.Pricing and payment
- Year one is a single engagement, invoiced in USD and paid up front. The amount is stated on the invoice and in the signed agreement.
- Renewal is annual and invoiced up front, and includes a fresh Audit, continued Monitoring, and revalidation of the Statement.
- We invoice for payment by ACH to US account details. We do not take cards, and we do not use international wires.
3.Delivery
- The complete Dossier (Audit, Remediation, Statement) is delivered within 30 days, door to door.
- The clock starts when payment has cleared and collaborator access to the Store has been granted, whichever comes last.
- Monitoring runs for the year: we recheck the Store and fix regressions within the window set out in the signed agreement.
4.Client responsibilities
- Grant a scoped Shopify collaborator invite, limited to the theme, for the duration of the engagement.
- Name a point of contact for approvals and questions.
- Respond within a reasonable time when input is needed; days waiting on Client input do not count against the 30 days.
5.Intellectual property
- Deliverables (the Dossier, the Accessibility Statement, and the Remediation work in the Client's theme) belong to the Client upon delivery and payment.
- Our methodology, templates, and tooling remain ours.
- The Client may share deliverables internally and with their Counsel freely.
6.Cancellation
- Engagements are annual. Cancellation, cure, and remedy terms are set out in the signed agreement.
- We may suspend Services for invoices that remain unpaid 14 days past their due date.
- Ending an engagement does not waive payment owed for work already delivered.
7.Limitation of liability
- We deliver technical Accessibility conformance work. We do not provide legal advice; for ADA defense, consult qualified Counsel.
- We stand behind the work: audited with real assistive technology, every barrier we find fixed and proven. We do not guarantee legal outcomes, and conformance does not prevent litigation.
- Components outside the theme's reach (such as platform components or the inside of apps) are documented and scoped in the Statement rather than modified.
- Our maximum liability for any claim is the amount the Client paid us in the prior 12 months.
- We are not liable for indirect, consequential, or punitive damages, nor for changes made to the Store by others after delivery, outside the Monitoring window set in the agreement.
8.Confidentiality
- Client Dossiers stay private. They map a Store's weak points, and protecting that is part of the job. We do not use Client names, findings, or URLs in marketing.
- We may make aggregate, non identifying statements about our work as a whole.
- We will sign an NDA on request.
9.Indemnification
- The Client indemnifies us against claims by third parties arising from how the Client uses our deliverables.
- We indemnify the Client against claims that our work product infringes someone else's intellectual property.
10.Governing law
- These terms are governed by the laws of Portugal.
- Disputes under these terms are resolved in the courts of Lisbon, Portugal. The signed agreement may set its own governing law and venue for the engagement.
11.Changes
We may update these terms with 30 days notice via email to active Clients. Continued use of the Services after notice constitutes acceptance.
